What "Foreign" Actually Means

In legal language, "foreign" doesn't mean international — it just means out-of-state. An LLC formed in Delaware that opens an office in Hawaii is a "foreign LLC" from Hawaii's perspective. The same applies to corporations and other entity types.

Hawaii has no Secretary of State filing office for businesses; foreign LLCs register with the Business Registration Division of the state's commerce department (DCCA). HRS § 428-1003 lists ten activities that don't amount to transacting business, such as members' meetings, keeping bank accounts, contractor sales, orders accepted on the mainland, a deal completed inside thirty days, and interstate commerce. Owning income-producing real or tangible property in Hawaii, though, does count.

What a Hawaii Registered Agent Does for a Foreign Entity

The general process for registering an out-of-state entity in Hawaii:

1. Order a recent certificate from home. Hawaii wants the original certificate of existence, dated within the 60 days before filing, and the name on Form FLLC-1 has to match it word for word.

2. Designate a Hawaii registered agent. You can use a commercial registered agent service or appoint an individual who lives in Hawaii.

3. File Form FLLC-1 ($50 + $1). The Application for Certificate of Authority costs $50 plus a $1 State Archives fee. File online, or by email, mail, or fax. Since July 6, 2026, the division has run a new portal, and expedited handling is currently not available. The form lists your managers or members.

4. File the annual report. Hawaii ties it to the calendar quarter you registered in, so it falls at the end of March, June, September, or December. Online it's $12.50, and each year it's late adds $10. Two years without one, and Hawaii may revoke your certificate.
